UrbanFavs is operated by UrbanFavs, LLC, a Texas limited liability company. In these Terms, "UrbanFavs," "we," "us," and "our" mean UrbanFavs, LLC. "You" and "your" mean the person using UrbanFavs.

UrbanFavs is a web-based platform that allows users to create, save, share, and discover curated lists of favorite places, businesses, and local experiences.

You must be at least 13 years old to use UrbanFavs. If you are under the age of majority where you live, you may use UrbanFavs only with permission from a parent or legal guardian.

UrbanFavs is not directed to children under 13, and users under 13 may not create accounts or use UrbanFavs.

You may browse certain public UrbanFavs content without creating an account. To create lists, save lists, follow other users, share lists, edit a profile, comment where available, upload photos, or add places to a list, you must create an account.

At launch, users create accounts with an email address, password, and username. You are responsible for keeping your login credentials secure and for all activity under your account. Please notify us promptly if you believe your account has been compromised.

UrbanFavs does not offer business accounts at launch. Business owners may create standard personal user accounts, but they may not falsely imply that they are operating an official business account, official UrbanFavs partner account, or verified business profile unless UrbanFavs provides that status in writing.

UrbanFavs supports three types of lists:

• Public lists: anyone may view them.
• Private lists: only the list creator may view them.
• Unlisted lists: anyone with the link may view them.

You are responsible for choosing the correct visibility setting for your lists. If you share an unlisted link with others, those people may share it further.

UrbanFavs is designed for users to share places and experiences they genuinely recommend. UrbanFavs is not a negative review platform.

You agree not to create lists, notes, comments, descriptions, uploads, or other content that are primarily negative, hostile, defamatory, abusive, or intended to damage a business or person. Mild practical context may be allowed when it is included in an overall positive recommendation, such as noting that parking may be limited. However, UrbanFavs may remove content that, in our judgment, does not match the positive-recommendation purpose of the platform.

You should only recommend places you genuinely know, value, or believe are worth sharing. UrbanFavs cannot verify whether every user has personally visited every place, but the platform is built around trusted, experience-based recommendations.

You may create or upload content through UrbanFavs, including list names, list descriptions, place notes, tags, descriptors, photos, profile images, bios, and comments where available. Your content must comply with these Terms, the Community Guidelines, and the User Content & Moderation Policy.

You keep ownership of content you create or upload, but you give UrbanFavs a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, display, reproduce, publish, modify for formatting, distribute, promote, and use your content in connection with operating, improving, promoting, and marketing UrbanFavs.

This license includes the right to feature public lists, public list titles, public user names/display names, profile information, and public content in UrbanFavs emails, city pages, social media, promotional materials, product features, and other marketing channels. Private lists will not be intentionally featured publicly by UrbanFavs.

You represent that you have all rights necessary to upload or share your content and that your content does not violate anyone else's rights.

You may upload photos for locations and profile use if the feature is available. You may not upload photos that you do not own or have permission to use. You may not upload photos that include illegal, pornographic, hateful, abusive, threatening, misleading, or privacy-invasive content.

UrbanFavs may remove uploaded photos at any time if we believe they violate our rules, infringe rights, create legal risk, or are inconsistent with the UrbanFavs experience.

You may not use UrbanFavs to post, upload, create, share, promote, or encourage:

• Hate speech or discriminatory content
• Harassment, threats, intimidation, or abuse
• Pornographic or sexually explicit content
• Adult entertainment listings or adult-oriented venue lists
• Illegal activity
• Spam, scams, or deceptive content
• Fake accounts or impersonation
• Fraudulent business promotion
• Defamatory statements
• Private personal information about another person
• Copyright infringement or other intellectual property violations
• Malware, scraping, bots, or attempts to disrupt UrbanFavs
• Profanity in list names, descriptions, place notes, bios, or comments
• Content that is primarily a negative review or complaint
• Any content or conduct that UrbanFavs determines is harmful, misleading, manipulative, or inconsistent with our platform purpose

UrbanFavs may display place and business information from third-party sources, including Google Places API. This information may include business names, addresses, hours, photos, maps, and categories. UrbanFavs does not display Google reviews or Google ratings at launch.

UrbanFavs does not guarantee that place or business information is accurate, current, complete, or available. Hours, locations, menus, pricing, ownership, policies, and services may change. You should verify important details directly with the business before visiting.

At launch, users may not manually edit business information. UrbanFavs is not responsible for correcting third-party business data.

UrbanFavs lists are personal recommendations, curated content, or user-generated content. Unless UrbanFavs clearly states otherwise in writing, inclusion of a place or business on UrbanFavs does not mean UrbanFavs officially endorses, certifies, inspects, licenses, sponsors, partners with, or guarantees that place or business.

UrbanFavs does not guarantee the accuracy, safety, quality, service, availability, hours, pricing, legality, suitability, or experience of any listed place or business. You visit, contact, purchase from, or interact with businesses at your own discretion and risk.

UrbanFavs may allow users to follow other users, save lists, share lists, and report users or content. Following relationships may be public. Users may report content or users by using available reporting tools or by emailing [email protected].

UrbanFavs may review reports but is not required to take action in every case. We may remove content, restrict visibility, suspend accounts, terminate accounts, or take other action at our discretion.

You may delete your account through the in-app account deletion option in your profile/settings area. When you delete your account, your profile will no longer be publicly visible and your lists will no longer be visible. Shared links to your lists may stop working or may no longer display your content.

UrbanFavs may retain certain data for backup, legal, security, fraud prevention, business record, compliance, or legitimate operational purposes. Some deleted content may remain in backups or internal records for a period of time. UrbanFavs may retain data longer where required or permitted by law.

UrbanFavs may launch or operate as a public beta. Beta features may be incomplete, experimental, unavailable, or changed at any time. By using beta features, you understand that the product may contain bugs or incomplete functionality.

UrbanFavs may have unpaid City Captains, ambassadors, or community contributors. Unless UrbanFavs states otherwise in writing, City Captains are not employees, agents, legal representatives, or official spokespersons of UrbanFavs. They may create their own lists that UrbanFavs may feature, but they may not bind UrbanFavs, contact businesses on behalf of UrbanFavs, or use UrbanFavs logos except as authorized in writing.

UrbanFavs may make physical or digital badges available to certain businesses or users, such as "Recommended on UrbanFavs," "An UrbanFav," "UrbanFavs Recommended," "UrbanFavs Founder's List," or "Featured on UrbanFavs." Businesses and users may display badges only as permitted by UrbanFavs and must not alter them, imply false endorsement, or suggest a formal partnership unless UrbanFavs has approved that in writing.

Use of UrbanFavs names, logos, badges, or brand assets must comply with our Brand & Badge Usage Guidelines.

UrbanFavs is free at launch and does not process payments at launch. UrbanFavs may add paid features, premium accounts, premium business profiles, sponsored lists, featured placements, affiliate links, advertising, city sponsorships, referral partnerships, data insights, or travel partnerships in the future.

If UrbanFavs offers sponsored or paid placements, we will label them as sponsored, paid, promoted, advertising, or similar wording where required or appropriate.

Our collection and use of personal information is described in our Privacy Policy, Cookie Notice, Location & Place Data Notice, and State Privacy Rights Notice. By using UrbanFavs, you acknowledge those policies.

UrbanFavs may contain links to third-party websites, maps, businesses, reservation services, social platforms, or other services. UrbanFavs is not responsible for third-party websites, services, content, privacy practices, availability, pricing, or user experiences.

UrbanFavs owns or licenses the UrbanFavs name, logos, badges, design, software, code, product features, database structures, page layouts, content organization, and other platform elements. You may not copy, modify, distribute, scrape, reverse engineer, or create derivative works from UrbanFavs except as allowed by these Terms or with our written permission.

If you provide ideas, suggestions, feature requests, feedback, or other input, you agree that UrbanFavs may use it without restriction or compensation to you. Feedback does not give you ownership rights in UrbanFavs or any product changes.

UrbanFavs may suspend, restrict, or terminate your account or access to UrbanFavs at any time if we believe you violated these Terms, created risk, misused the platform, infringed rights, engaged in harmful conduct, or acted inconsistently with the purpose of UrbanFavs. We may provide warnings where appropriate, but we are not required to do so before taking action.

UrbanFavs is provided "as is" and "as available." To the fullest extent permitted by law, UrbanFavs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted operation.

UrbanFavs does not provide travel, safety, legal, financial, medical, professional, or other expert advice.

To the fullest extent permitted by law, UrbanFavs, LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, business interruption, personal injury, property damage, or claims arising from your use of UrbanFavs or interactions with listed businesses.

To the fullest extent permitted by law, UrbanFavs' total liability for any claim will not exceed the greater of $100 or the amount you paid UrbanFavs in the twelve months before the claim arose.

You agree to defend, indemnify, and hold harmless UrbanFavs, LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your use of UrbanFavs, your violation of these Terms, your violation of law, your infringement of rights, or your interactions with other users or businesses.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

Before filing a claim, you agree to contact UrbanFavs at [email protected] and try to resolve the dispute informally. If the dispute cannot be resolved informally, the parties prefer binding individual arbitration unless a court proceeding is required or permitted by applicable law. Any court proceeding must be brought in the state or federal courts located in Collin County, Texas, unless applicable law requires otherwise.

You and UrbanFavs agree that disputes must be brought only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, or representative action, to the fullest extent permitted by law.

UrbanFavs may update these Terms from time to time. We may post updated Terms in the app or on our website. For material changes, we may provide additional notice or request renewed acceptance. Your continued use of UrbanFavs after updated Terms are posted or become effective means you accept the updated Terms.
